Terms & Conditions
By submitting, either in writing, electronically or verbally, any order, will indicate your agreement to the following terms. Any terms other than the following will be unacceptable unless agreed upon in writing by both parties.
PRICES
Prices, discounts and terms are subject to change without notice. All
quotations are subject to correction for clerical errors or incomplete
information from the buyer.
INTEREST
Invoices not paid within terms will be subject to interest at
the rate of 1 ½% per month of the unpaid balance, or the highest
rate allowed by law, whichever is higher.
DELIVERY
Delivery terms are F.O.B. Shipping Point unless otherwise specified
in the quotation.
The promised delivery date is the best estimate possible based on current and anticipated factory lead times. We shall not be liable for delay in deliveries directly or indirectly resulting from or contributed to by any circumstances beyond our control. Seller assumes no liability for loss, damage or consequential damage due to delays.
PAYMENT
If the Buyer becomes delinquent in payments to the Seller, then
Seller has the right, in addition to any other remedy to which Seller
may be entitled in law or equity, to cancel the sales order, refuse to
make further deliveries and declare due and payable immediately all unpaid
amounts for goods previously delivered to the Buyer and/or in process. In
the event that payment is not timely made, and Seller places the account
for collection, Buyer agrees to pay all of Seller’s costs and expenses,
including, but not limited to deposition costs, reasonable attorney fees
incurred by Seller related to the collection of sums due.
CANCELLATIONS
Purchaser may cancel an order only upon written notice and acceptance
from seller. Cancellation charges will be determined by seller
if applicable.
RETURNS
Prior authorization is required for all returns. Material
must be in new or like new condition and include all original packaging
materials and documentation. Custom and or value added materials
are non-returnable. Shipments must be freight prepaid to the seller
and returned to sellers’ specified location.
ERRORS AND CLAIMS
Seller will make good on errors of Seller’s own fault,
but cannot assume responsibility for errors of others. All claims
for shortages must be made within 20 calendar days of date of shipment. Any
claims for damages or shortages resulting from shipment handling must
be made direct to the carrier.
GENERAL CONDITIONS
Sellers’ terms & conditions override any other statements,
clauses or conditions that are submitted on buyers own forms that are
inconsistent with sellers’ stated terms and conditions.
Buyer agrees to hold the seller harmless from any and all liabilities, claims, losses, damages, costs and expenses resulting from buyer’s improper use of goods.
